Owner - Location Representative Agreement

This Agreement is between the Owner [Owner] of FleeAmerica.com and an independent  Location Representative [LocRep]. Please read and make sure you understand  and agree with the terms of the entire agreement as it is written before you enter into the contract

 

The intent of the Owner of FleeAmerica.com as it relates to the LocRep and FleeAmerica.com is as follows:

 

  1. Owner’s Commitment. The Owner strongly believes that “the key to success is making others successful.” The Owner will endeavor to provide the necessary framework, i.e. FleeAmerica.com static web pages, upon which each individual contributing Location Representative can develop his own specific location [or locations]: This means that the Owner will endeavor to provide general information to the visiting public that may reasonably be expected by travelers | property buyers | investors for their general use. This general information may be in the form of location or regional data, currency exchange conversion links, maps, world time, visa requirements, rules | regulations | laws governing purchasing property, doing business or making investments or traveling to the locations represented by FleeAmerica.com and its independent Location Representatives. FleeAmerica may also develop the International Forum for the benefit of both users and Contributors. International Writers and International Bloggers may also provide content in support of the material provided by Location Reps.

 

  1. Independent Status. It is understood and agreed upon that each Location Representative is an independent agent and not part, in any way, of the Ownership of FleeAmerica.com. Consequently, any information or content provided by the Location Representative, is the Loc Rep’s sole responsibility as to its accuracy, timeliness and validity.

 

 

  1. Termination for Cause. It is agreed to, for the purpose of maintaining the integrity of FleeAmerica.com in its entirety, that the Owner, may at his discretion, with or without notice to the Location Representative, remove or cause to have removed any  information, data, images or other content that the Owner finds offensive, illegal, inaccurate, or in any way violates the Terms of Service.

 

      Section 6 and Section 14 of the Terms of Service is hereby made a part of this         Agreement. Section 14 reads as follows:

Termination. You agree that FleeAmerica may, under certain circumstances and without prior notice, immediately terminate your account, any associated email address, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Termination of your FleeAmerica account includes (a) removal of access to all offerings within the Service, including but not limited to Web Pages, Blogs, Writer’s areas, Chat, Domains, Personals, Auctions, Message Boards, Forums, Email Accounts, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Service. Further, you agree that all terminations for cause shall be made in FleeAmerica’s sole discretion and that FleeAmerica shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

As a Location Representative, you will be given warning of any violations of the above section and opportunity, with a deadline, to correct any correctable deficiencies before termination unless Owner can not do otherwise, e.g. by order of law enforcement, etc.

4.      Location Representative’s Obligations. As a Location Representative, you will be expected to maintain the following:

1.      Live in the Location you represent. Exceptions may be made at the sole discretion of the Owner.

2.      As “content is King” in any web site such as FleeAmerica.com providing accurate and current information and content for each location will be a major requirement of each Location Representative. New and vital content is what will keep visitors returning and this type of content is one of the major goals of FleeAmerica.com. With each Location Representative doing its part, i.e. providing relative and vital content, visitors will keep returning and encourage other visitors to access the information available within each location representative’s web pages within FleeAmerica.com.  In essence, each location representative’s web pages are what constitutes, in large part, FleeAmerica.com.

  1. Multiple Representation. Location Representatives agree that the Owner may, at his discretion, designate more than one Representative for any location. This is necessary for the following reasons:

1.      Some locations – like cities with large populations – are simply too large for any one Location Representative to cover adequately.

2.      Potential advertisers may be adverse, for whatever reasons, to utilizing the services of a particular Location Representative. Providing a choice to potential advertisers provides competition and helps ensure vital information and promotes vibrancy within FleeAmerica.com.

3.      Some Location Representatives, for whatever reasons, may not be able to provide the content needed for a vibrant presence or may, at certain times, not be able to provide the content vital to FleeAmerica’s visitors. Having more than one Location Representative in certain locations helps ensure the success of FleeAmerica in general and each Location Rep in particular.

 

  1. Multiple Representation by Location Representatives. Upon approval of the Owner, a Location Representative may represent more than one location.

 

  1. Advertising. Each Location Representative is free to pursue its own advertising policy with potential advertisers | sponsors within the guidelines established by FleeAmerica. All revenue from such endeavors is the property of the Loc Rep. This is one of the vital differences between FleeAmerica.com and most, if not all other related web sites. Each Location Representative, working independently but in conjunction with the Owner, is creating a synergetic web presence like no other on the world wide web. Each Location Representative is their own boss. Other than the Terms of Service, this Agreement  and following the general format of FleeAmerica.com, which is established for the benefit of all Contributing Members, Loc Reps are free to develop their  web pages as they deem best.  

 

  1. Development Time Frame. Each Location Representative will be given, from the time they commit to this Agreement in writing, Six Months [6 months] to develop their web pages within the FleeAmerica.com site free of charge. This development period will allow each Location Representative to develop his web presence within FleeAmerica.com without the expense of overhead. FleeAmerica.com suggests that Location Representatives contact potential advertisers and offer to promote their services | products free of charge until they believe they have sufficiently developed their web presence to justify a payment from advertisers.

 

      To avoid Location Representative ‘freeloaders,’ should the Owner ascertain that a   Loc Rep is  charging his advertisers for inclusion on FleeAmerica.com during the              six month development term, the Owner may, at his discretion, start charging          the Loc Rep a rental fee for his web presence within FleeAmerica.com based           upon the anticipated fee schedule set forth in Section 9 below.

 

  1. Fees. Fees are based upon the population of the Location | Region represented by the Representative.

All fees are payable quarterly, semi-annually and yearly, with a 10% discount given for fees prepaid on a yearly basis.        

 

  1. Assistance. FleeAmerica.com has programmed the format of the Loc Rep’s web pages so that no programming skills are needed. However, should more complex or custom pages be desired, FleeAmerica.com can provide programming services for a reasonable fee. Please contact Admin@FleeAmerica.com for more information.

 

  1. Sole agreement. This agreement, along with the Terms of Service, is the sole agreement between the Owner and the Location Representative. No other verbal or implied agreements are part of this agreement.
